Job Description :
A leading investment group is looking for a native Arabic speaking Legal Advisor with minimum 10 years of experience in the similar industry.
Direct and manage all legal activities across the Group, and provide specialist and expert legal and commercial advice to the Board, the MD & CEO and the Executive Management team. Also coordinate with GMs and other Senior members of the Sub-holding companies. Ensure that the company is operating in compliance with applicable laws, guidelines and regulations. Represent the company in the resolution of legal issues that impact the Group situation.
1.Provide direction and manage all legal staff in performing their delegated tasks.
2.Set standards and performance measures. Conduct performance appraisals as per HR policy
3.Ensure that all legal staff acquires required skill sets, knowledge and certifications through appropriate training and professional development programs (in coordination with the Human Resources and Administration). Coach and counsel them as required. Encourage good communication by subordinates among all levels of staff.
4.Monitor progress of all projects in legal department through project status meetings, project tracking reports, measurement and analysis meetings, etc.
1.Develop division's plans and operational budget.
2.Contribute to the development and execution of the division's objectives and ensure alignment with the Group strategy.
3.Provide inputs towards the development of the division's policies and procedures and ensure that they are properly implemented.
4.Prepare half yearly reports on the department's results outlining achievements versus plans, challenges faced and suggestions for improvements.
1-Effectively deal with legal and commercial aspects of various businesses of the Group as well as contracts and legal documents etc.
2-Providing legal advice on various legal issues like commercial contracts, dispute resolution, funding agreements, regulatory, employment laws and governance matters.
3-Drafting, vetting, negotiating and finalizing various documents such as Non-Disclosure Agreements, Land Lease Agreements, Facility Agreements, Joint Venture Agreements, Agency Agreements, Power of Attorney, Sale/Acquisition of business, Engineering and Construction Agreements for buildings and facilities, Supplier contracts etc.
4-Advising on how to ensure minimal liability and legal exposure for the business of the Group.
5-Taking decisive actions on various legal matters and advising management on such issues.
6-Assessing and advising effectively to minimize and control risks and compliance issues as applicable to the legal function relating to Group companies and ensuring that the system, controls and processes are appropriate as relevant.
7-Advising and ensuring that the relevant businesses are carried out in compliance with the necessities of legislation involving data protection, intellectual property matters etc.
8-Supervising, researching and analyzing implication of case law, legislation, and regulatory matters that affect the company and reporting them back to CEO.
9-Communicate, brief and coordinate with lawyers, advocates, consultants in matters related to the Groups activities and put forth strongly our view points/perspective, so that they are adequately reflected in the replies/ statements/ submissions/documents, etc.
10-Coordinate with various Governmental departments and authorities both locally and in various countries of operations.
11-Liaise where necessary, with Banks and Financial Institutions in connection with documentation for obtaining credit financing, dealing with security documentation, conditions precedents and concluding the financial structuring/legal structuring for enabling the credit facilities to be made available.
12-Coordinate and research commercial solutions with regard to legal structures for new companies/ businesses initiated in different country jurisdictions keeping in view the tax implications for the same and in that connection incorporate limited liability companies/ special purpose vehicles etc.
13-Comply with statutory requirements of company registrations, joint ventures, renewals, changes to Memorandum and Articles of Association in UAE and different countries;
14-Advise the Management and Senior executives, departments/ units generally about the laws relating to the business, particularly commercial laws, intellectual property, civil and criminal laws etc.
15-Perform any other duties as requested by the MD/CEO.
Degree/ Masters Degree in Law
Strong written and oral communication and analytical skills.
Ability to grasp complex of law rapidly and accurately
Exhibiting sound practical judgment
Ability to work as a member of multi-disciplinary team
Ability to equilibrate priorities and organize work to meet deadlines.
