SUMMARY: The Vice President, Legal, Compliance & Public Affairs - UAE , will be based in Dubai and reporting to the Regional Co-Head of Legal, Compliance & Public Affairs (LCPA) for MEA with a dotted line to the Marsh UAE CEO. This role has overall responsibility for collaborating with the Marsh UAE CEO and business leadership to understand the business environment and strategy in order to advise and provide guidance on potential risks, regularly engaging with the local regulator on regulatory matters, implementing Marsh Legal and compliance strategy, processes and goals in the Marsh UAE operations, leading Client First Principles for LCPA in UAE and advising MENA Regional LCPA on legal- and compliance-related matters and initiatives. This role will also be responsible for the legal oversight of the UAE business, working with internal subject matter experts and external counsel.
MAJOR RESPONSIBILITIES INCLUDE:
  • Supporting and implementing Legal & Compliance efforts for LCPA in UAE and promoting an ethical and legally compliant business culture.
  • Monitoring colleague participation and execution of compliance standards in the areas of Gifts and Entertainment, AML/KYC, Economic Sanctions and other compliance policies and topics, and Professional Standards, Client Service Agreements, E&O, and Learning (HR).
  • Assisting with and reviewing all Third Party Provider submissions, renewals and payments for compliance with company policy and procedure, including timeliness of submissions and renewals, prior to TPP engagement.
  • Reviewing regulations/directives and global/regional policies and explaining their requirements and applicability to Marsh UAE colleagues and operations and developing procedures, policies, processes and training to support the LCPA function in conjunction with all internal and external standards and regulations and communicating and monitoring within the country.
  • Under the direction of MMC Investigations, assisting in internal investigations and making related recommendations to the relevant committees for consequences of potential non-compliance based on facts identified through the investigation process.
  • Advising Marsh UAE Board, Marsh UAE CEO and leadership teams on the status of compliance, transparency, and overall professional liability performance of colleagues.
  • Provide analysis and counsel on a range of legal issues, including corporate issues, business structures and models, M&A, property related issues, employment issues, insurance and reinsurance
  • Oversee the drafting and review of contracts and related documents for the procurement or provision of goods and services, confidentiality of proprietary information, employment, leases of space and equipment, and software licenses.
  • Analyze a broad range of complex laws and regulations affecting the operations of the Company including those arising from corporate structures and business models
  • Represent the Company and/or senior executives and managers in legal proceedings and/or supervise such representation,
  • Engage outside counsel on complex legal issues, and supervise and coordinate all work sent to external law firms
  • Anticipate and identify legal issues of concern to the senior management team and develop legal strategies and solutions, often in situations of high risk with limited time for assessing alternatives.
  • Implementing an effective E&O network and ensuring effective processes exist to address E&O Prevention (Pre Loss) and Mitigation.
  • Partnering with E&O coordinator in triaging, investigating, mitigating, and closing claims as well as assisting in reviewing claims history, identifying trends, and developing awareness education to avoid repeatable incidents.
  • (If required) Represent the Company and/or senior executives and managers in legal proceedings and/or supervise such representation.
  • Work closely with regional heads of finance, human resources and compliance in relation to reviewing business practices/ corporate structures, training and investigations.
  • Supporting and implementing LCPA efforts for the Company and promoting an ethical and legally compliant business culture. Partnering with senior management and regional teams to achieve desired compliance results.
  • Actively participating on appropriate executive, leadership, and/or operating committees.
  • Conducting process reviews with members of the Company and/or department LCPA network to ensure transparency processes and procedures are effectively implemented and utilized.

Educational/Professional/Functional Qualities:
  • 7+ years of post-qualification experience
  • Experience of working within the insurance sector
  • Legally qualified and/or relevant legal experience
  • Strong track record to working with regulatory and other government bodies within UAE
  • Have the gravitas to represent the firm internally and externally at senior levels
  • Must be able to grasp business transactions and identify and implement the legal treatment
  • Excellent drafting and organizational skills
  • Ability to analyze complex legal problems quickly and concisely without direct supervision
  • Ability to exercise good judgment even in ambiguous situations
  • A strong team player with the ability to help develop and mentor colleagues.
